Please read these terms of service (“terms”, “terms of service”) carefully before using the New Market Trading Website (the “Service”) operated by New Market Trading (“us”, “we”, or “our”).

These Terms and Conditions (the "Terms") govern your access to and use of the website located at newmarkettrading.com and any related subdomains, pages, and content (collectively, the "Site"), which is operated by NMT Offchain L.L.C-FZ ("NMT," "we," "us," or "our"), a Limited Liability Company incorporated in the Dubai Meydan Free Zone, United Arab Emirates, with its registered address at Meydan Grandstand, 6th Floor, Meydan Road, Nad Al Sheba, Dubai, U.A.E.
By accessing or using the Site, by creating an account on the Site, or by submitting information to us through the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, do not use the Site.
These Terms are a binding legal agreement between you and NMT. Please read them carefully.
1. Relationship to the Onchain Execution Services Agreement
The Site is a marketing and informational property. It is separate from the Onchain Execution Services Agreement ("Services Agreement") that governs your use of NMT's onchain execution services (the "Service"). Nothing on the Site constitutes an offer to provide the Service. If you wish to become a client of the Service, you must enter into a separate, signed Services Agreement with NMT. In the event of any conflict between these Terms and the Services Agreement on a matter relating to the Service itself, the Services Agreement controls.
2. Eligibility
You may use the Site only if you are at least 18 years old and have the legal capacity to enter into a binding contract under the laws of your jurisdiction. By using the Site, you represent and warrant that you meet these requirements.
The Site is accessible from many countries, including the United States. You are solely responsible for ensuring that your use of the Site, and any subsequent engagement with NMT, complies with the laws of the jurisdiction from which you access it. Access to or eligibility for the Service itself may be limited by jurisdiction and is governed by the separate Services Agreement and applicable onboarding requirements.
3. Accounts
3.1 Creating an Account
Certain features of the Site may require you to create an account. When you do, you agree to:
provide accurate, current, and complete information;
promptly update your account information if it changes;
keep your login credentials confidential and not share them with any third party;
be solely responsible for all activity that occurs under your account; and
notify us promptly at the contact address in Section 18 if you suspect unauthorized use of your account.
NMT is not liable for any loss or damage arising from your failure to safeguard your account credentials.
3.2 Suspension and Termination of Accounts
We may suspend, restrict, or terminate your account at any time, with or without notice, if we reasonably believe that you have violated these Terms, that your account has been compromised, that continuing to provide access presents a legal, regulatory, or security risk, or for any other reason permitted by law. You may close your account at any time by contacting us at the address in Section 18.
3.3 Distinguishing the Site Account from the Service
A Site account does not give you access to the Service, does not establish any custodial, advisory, or fiduciary relationship, and does not grant any rights with respect to crypto assets. The Service is provided only after you have signed a Services Agreement and completed onboarding.
4. Lead Capture and Communications
If you submit a contact form, request a consultation, or sign up for marketing communications, you authorize NMT and its service providers to contact you using the contact information you provided. Your information is handled in accordance with our Privacy Policy.
You may unsubscribe from marketing communications at any time using the link in any marketing email or by contacting us. Transactional and account-related communications (for example, replies to a question you have asked or notices about your account) are not marketing communications, and you will continue to receive those as needed while you have an account.
5. Content on the Site
5.1 Informational Purpose Only
All content on the Site — including text, graphics, charts, illustrations, videos, downloadable materials, and educational content — is provided for general informational purposes only. Site content does not constitute:
investment, financial, legal, accounting, or tax advice;
a recommendation, endorsement, rating, or suitability assessment of any crypto asset, protocol, strategy, vault, yield product, or other financial product;
an offer to sell or a solicitation of an offer to buy any security, derivative, or other financial instrument; or
a guarantee or representation of any past, present, or future performance, yield, or outcome.
You should not rely on Site content as the basis for any financial, legal, or tax decision. Always consult qualified professionals before making such decisions.
5.2 No Performance Guarantee
Crypto-asset markets are volatile and experimental. Any historical returns, yield figures, projections, charts, or performance metrics displayed on the Site are illustrative and informational only, are derived from third-party sources we do not control, and do not predict or guarantee future results. Past performance does not guarantee future outcomes. Participation in onchain primary market strategies can result in partial or total loss of capital.
5.3 Testimonials and Client Results
The Site may display client testimonials, case studies, or descriptions of client results. Any such testimonials reflect the experience of the specific individual or entity featured and are not typical, representative, or guaranteed. Individual results vary based on market conditions, client-selected strategies, timing, and many other factors outside NMT's control. No testimonial should be relied upon as a prediction or promise of any particular outcome. NMT may compensate or provide benefits to clients who provide testimonials only as permitted by applicable law and will disclose any material connection where required.
5.4 Third-Party Information
The Site may display data, analytics, screenshots, or commentary derived from third-party sources, including blockchain networks, protocols, data providers, and analytics services. NMT does not guarantee the accuracy, completeness, timeliness, or availability of any third-party information. Links from the Site to external websites are provided for convenience only and do not imply endorsement; NMT is not responsible for the content, accuracy, or practices of any external website.
5.5 Forward-Looking Statements
The Site may include forward-looking statements about NMT's plans, products, or the broader crypto market. Forward-looking statements are subject to risks and uncertainties and may not come to pass. NMT undertakes no obligation to update forward-looking statements after they are published.
6. Intellectual Property
6.1 Ownership
The Site and all of its content — including text, graphics, logos, icons, images, audio, video, software, code, and the selection, arrangement, and "look and feel" thereof — are the property of NMT or its licensors and are protected by copyright, trademark, trade secret, and other intellectual-property laws. The marks "NMT," "New Market Trading," and any related logos are trademarks of NMT or its affiliates. All rights not expressly granted in these Terms are reserved.
6.2 Limited License to You
Subject to your compliance with these Terms, NMT grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and view the Site for your personal, non-commercial use. This license does not permit you to:
copy, reproduce, republish, distribute, publicly display, or create derivative works from Site content (except for personal, non-commercial use in a manner that does not impair the source);
use Site content to train any machine-learning or artificial-intelligence model;
frame, mirror, or scrape the Site; or
remove or alter any copyright, trademark, or other proprietary notice.
6.3 Feedback
If you submit suggestions, ideas, or feedback about the Site or the Service, you grant NMT a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback for any purpose without compensation or attribution to you.
7. Copyright Complaints (DMCA Notice and Takedown)
NMT respects the intellectual-property rights of others and expects users of the Site to do the same. If you believe that material on the Site infringes a copyright you own or control, you may submit a written notice to our designated agent. To be effective under the U.S. Digital Millennium Copyright Act (DMCA), your notice must include:
a physical or electronic signature of the copyright owner or a person authorized to act on the owner's behalf;
identification of the copyrighted work claimed to have been infringed;
identification of the material that is claimed to be infringing, with sufficient detail to allow us to locate it on the Site (including a URL);
your contact information, including name, address, telephone number, and email;
a statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and
a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

We may remove or disable access to material claimed to be infringing and may, in appropriate circumstances, terminate the accounts of repeat infringers. If you believe material was removed in error, you may submit a counter-notice meeting the requirements of 17 U.S.C. § 512(g).
8. Acceptable Use
You agree not to:
use the Site in violation of any applicable law or regulation;
attempt to gain unauthorized access to any portion of the Site, any account other than your own, or any underlying systems, networks, or databases;
interfere with, disrupt, or impose an unreasonable load on the Site or its supporting infrastructure;
use any robot, spider, scraper, or other automated means to access the Site for any purpose without our prior written consent;
introduce any virus, worm, malware, or other malicious code;
use the Site to harass, defame, or harm any person, or to transmit unlawful, threatening, abusive, defamatory, obscene, or otherwise objectionable content;
impersonate any person or misrepresent your affiliation with any person or entity;
attempt to reverse-engineer, decompile, or disassemble any portion of the Site or its underlying software;
use the Site to phish for, solicit, or collect private keys, seed phrases, or recovery credentials of any person; or
circumvent any security or access-control measure on the Site.
NMT will never ask you for your private keys, seed phrases, or recovery credentials. Any communication purporting to be from NMT and requesting that information is fraudulent and should be reported to us.
9. User Submissions
If you submit, post, or transmit any content to NMT through the Site (other than personal information governed by the Privacy Policy and other than confidential business information clearly designated as such) — including comments, feedback, testimonials, and other materials ("User Submissions") — you grant NMT a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to use, copy, modify, distribute, publicly display, and create derivative works of those User Submissions for any lawful business purpose. You represent that you have all rights necessary to make this grant and that your User Submissions do not infringe the rights of any third party.
NMT has no obligation to review or monitor User Submissions but may remove them at any time at our discretion.
10. Accessibility
NMT is committed to making the Site usable by as many people as possible, including visitors with disabilities. If you encounter an accessibility barrier or need an accommodation to access information on the Site, please contact us at [email protected]. We will work in good faith to address the issue or provide the information in a reasonable alternative format.
11. Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NMT DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
NMT does not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that any defects will be corrected. NMT does not warrant the accuracy, completeness, or timeliness of any content on the Site. Your use of the Site is at your sole risk.
Some jurisdictions do not allow the disclaimer of certain implied warranties, so some of the foregoing disclaimers may not apply to you to the extent prohibited by applicable law.
12. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NMT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR SPECIAL DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SITE, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF NMT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL NMT'S TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED U.S. DOLLARS (USD $100.00).
Nothing in these Terms limits liability for fraud, intentional misconduct, or any other liability that cannot legally be excluded under applicable law.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the foregoing limitations may not apply to you to the extent prohibited by applicable law.
13. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless NMT and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any law or the rights of any third party; or (d) any User Submission you provide. NMT reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense.
14. Privacy
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
15. Modifications to the Site and to These Terms
NMT may modify, suspend, or discontinue the Site (in whole or in part) at any time, with or without notice. NMT may also update these Terms from time to time. When we do, we will update the "Last Updated" date above. If a change is material, we will provide additional notice (for example, by email if you have an account or by a prominent notice on the Site). Your continued use of the Site after a change becomes effective constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Site.
16. Governing Law and Dispute Resolution
These Terms, and all rights, obligations, and claims arising out of or relating to them or to the Site, are governed exclusively by the laws of the Dubai International Financial Centre (DIFC), without regard to conflict-of-law principles. To the extent any matter is not addressed by DIFC law, the laws of the United Arab Emirates apply.
You acknowledge and agree that the Site is operated by a UAE-based entity and that you are accessing it remotely from your jurisdiction.
Any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Site shall be resolved exclusively in the courts of the Dubai International Financial Centre (DIFC), which shall have sole and exclusive jurisdiction. The DIFC Courts are a common-law, English-language court system whose judgments are widely recognized internationally. You irrevocably submit to the exclusive jurisdiction of the DIFC Courts and waive any objection to that forum, including any objection based on improper venue or forum non conveniens. Nothing in this Section prevents either party from seeking interim or injunctive relief in any court of competent authority.
Each party shall bear its own legal fees and costs in any dispute, unless otherwise determined by the DIFC Courts.
This Section governs disputes about the Site and these Terms only. Disputes arising under the Services Agreement are governed by the dispute-resolution provisions of that agreement.
17. Miscellaneous
Entire Agreement. These Terms, together with the Privacy Policy and any other policies referenced on the Site, constitute the entire agreement between you and NMT regarding your use of the Site, and supersede any prior agreements between you and NMT relating to the same subject matter. They do not supersede the Services Agreement on matters relating to the Service.
Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.
No Waiver. NMT's failure to enforce any provision of these Terms is not a waiver of that provision or of NMT's right to enforce it later.
Assignment. You may not assign or transfer these Terms or any rights under them without NMT's prior written consent. NMT may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
No Agency. Nothing in these Terms creates any agency, partnership, joint venture, employment, or fiduciary relationship between you and NMT.
Headings. Section headings are for convenience only and have no legal effect.
Survival. Provisions that by their nature should survive termination of these Terms (including Sections 6, 7, 9, 11, 12, 13, 16, and 17) will so survive.
